By accessing and using Zenva's application programming, interfaces, software, tools, data, documentation, or websites (collectively, the "Services"), you expressly agree that you have read and agree to be bound by the following terms and conditions ("Terms"), all applicable laws and regulations, and any future updates. You also agree that you are 18 years of age or older and legally capable of forming a binding contract.
Unless otherwise defined, the terms used below and in our other agreements or notices, including our Privacy Policy, have the following meanings:
- "Client," "User," "You," and "Your" refer to you, the person using the Service and agreeing to the Terms, or, if you are agreeing to these terms on behalf of an entity, to that entity.
- "Zenva," "Ourselves," "We" and "Us" refer to our company, Zenva Technology, Inc.
- "Representative" means Zenva personnel, advisors, affiliates, agents, and suppliers.
- "Party," "Parties," or "Parties" refers to the Client and us, or the Client or us.
Any use of the above terminology or other words in the singular, plural, capitalization, and/or he/she/it or they/them are considered interchangeable and, therefore, refer to the same thing.
These Terms and any policies incorporated into these Terms constitute the entire agreement between you and Zenva regarding your access to or use of the Services and, other than applicable Service-specific terms of use or Company agreements, supersede any prior or contemporaneous agreements, communications, or understandings between you and Zenva regarding such matters.
Your access to or use of the Services is not intended or created to create or create an agency, partnership, joint venture, or other relationship.
You may not assign or delegate any rights or obligations under these Terms, and any assignment or delegation by you will be null and void. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, or to any affiliate as part of a corporate reorganization.

In addition, where you agree to these terms on behalf of an entity, you agree that our Data Processing Addendum governs our processing of any personal data contained within any content you input to our Services. You acknowledge that Zenva may process personal data relating to the operation, support, or use of our Services for our own business purposes, such as billing, account management, data analysis, benchmarking, technical support, product development, research and development of its AI models, improvement of its systems and technologies, and compliance with law.
2. License to Use the Services
We grant you a non-exclusive right to access and use the Services in accordance with these Terms. Zenva retains all right, title, and interest in and does not agree to any transfer of title regarding the Services. If applicable to You, You may authorize your employees, affiliates and contractors to use the Services on your behalf, however, you may not authorize third parties to use the Services, and in every case, you are responsible for your account's compliance with these Terms, independent of whether or not a party was authorized by You to use the account. You must maintain the security of your account, as applicable, and promptly notify us if you discover or suspect that someone has accessed your account without your permission. You will be responsible for all usage under your account whether or not it is authorized by you. Notwithstanding the foregoing or anything to the contrary set forth herein, you may not:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation;
- Modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services;
- Remove, alter, or obscure any proprietary notices on the Services;
- Use the Services to transmit any viruses, worms, defects, trojan horses, or other items of a destructive nature;
- Interfere with or disrupt the integrity or performance of the Services;
- Access the Services for the purpose of building a competitive product or service;
- Copy, frame, or mirror any part of the Services;
- Use any robot, spider, or other automatic device to access the Services;
- Exceed any rate limits or other restrictions imposed on your use of the Services.
